Terms of Service

About these terms

These terms apply to services provided by Knight Labs (ABN to be added), a business based on the Gold Coast, Queensland, Australia. By engaging Knight Labs for any service, you agree to these terms.

These terms are governed by the laws of Queensland, Australia. Any disputes will be subject to the jurisdiction of Queensland courts.

Our services

Knight Labs provides website design and development, business systems, admin tools, IT support, and automation services for small businesses and trades. The specific scope of work for each engagement is agreed in writing before work begins.

We build in stages. What gets built, what it costs, and when it will be delivered are confirmed in a written scope of work or proposal before any work starts. Work outside the agreed scope is quoted separately.

Quotes and payment

All prices are quoted in Australian dollars (AUD) and are inclusive of GST where applicable. Quotes are valid for 30 days from the date issued.

Payment terms are agreed per project. Typically:

• A deposit is required before work begins
• The balance is due on project completion or as agreed in writing
• Ongoing support or retainer services are billed monthly in advance

Late payments may attract interest at the rate of 2% per month on the outstanding balance. We reserve the right to pause work on a project if invoices are not paid within the agreed terms.

Your responsibilities

To allow us to do our best work, you agree to:

• Provide content, images, and information we need in a timely manner
• Give us feedback and approvals within agreed timeframes
• Ensure you have the rights to any content, images, or materials you provide to us
• Provide accurate information about your business and requirements

Delays caused by late provision of content or approvals may affect project timelines and costs. We will let you know if this is the case.

Intellectual property

On full payment of all invoices, you own the website, content, and materials we produce specifically for your project. This includes the HTML, CSS, JavaScript, and any custom design elements created for you.

We retain the right to use your project as a portfolio example unless you request otherwise in writing before the project begins.

Third-party tools, frameworks, plugins, and software used in your project (such as Bootstrap, Google Fonts, or Formspree) are subject to their own licences. We will advise you of any relevant licence requirements.

Confidentiality

We treat all information you share with us as confidential. We will not disclose your business information, systems, or client data to third parties without your permission, except where required by law.

Warranties and liability

We take care to deliver quality work and we stand behind what we build. If something we deliver does not work as agreed, we will fix it at no charge within 30 days of delivery.

To the extent permitted by Australian consumer law:

• We are not liable for indirect or consequential losses arising from your use of any system or website we build
• Our total liability for any claim is limited to the amount you paid us for the specific service the claim relates to
• We are not responsible for issues caused by third-party services (hosting providers, domain registrars, payment processors, etc.)

Nothing in these terms limits your rights under the Australian Consumer Law where those rights cannot be excluded.

Cancellation

Either party may cancel a project by giving written notice. If you cancel a project after work has begun:

• You will be invoiced for all work completed to that point at our standard rate
• Any deposit paid will be applied against that invoice
• Completed work will be handed over on settlement of the final invoice

If we cancel a project for reasons within our control, we will refund any amounts paid for work not yet completed.

Ongoing support

Support arrangements after project completion are agreed separately. We do not guarantee ongoing support unless it is specifically included in your agreement. If you need ongoing help, we offer support retainers — ask us for details.

Changes to these terms

We may update these terms from time to time. The date at the top of this page shows when they were last updated. The terms that apply to your engagement are the terms in place when your project agreement was signed or confirmed in writing.
